Nest End User License Agreement

This End User License Agreement (the “Agreement”) explains the terms under which you may use Nest. Please read it before installing, purchasing, or using Nest. By installing, purchasing a license for, or using Nest, you agree to this Agreement. If you do not agree to this Agreement, do not install or use Nest.

1Definitions

• “Nest”: The proprietary desktop application developed by Albedo One.
• “Personal License”: A license granted to one individual for use on that person’s own devices, including personal documents and that person’s own professional documents, provided the license is not shared with other people, a team, an office, or an organization.
• “Licensor”: Dejan Stanojević, operating under the Albedo One name.
• “Merchant of Record”: Lemon Squeezy, the authorized reseller handling purchases, payments, and refunds.
• “Trial”: A time-limited free evaluation period during which you may use Nest without a paid license.

2License, not sale

Nest is licensed, not sold.

When you purchase a Nest license, you are buying the right to use Nest under this Agreement. You are not buying ownership of the software, source code, license generator, signing keys, build system, brand, trademarks, artwork, or other intellectual property related to Nest or Albedo One.

All rights not expressly granted to you in this Agreement remain with the Licensor.

3Proprietary software

Nest is proprietary software.

The source code is not provided as part of your license. You may not claim that Nest is open-source software, redistribute it as open-source software, or represent yourself as the owner or developer of Nest.

4License grant

Subject to this Agreement, the Licensor grants you a perpetual, limited, non-exclusive, non-transferable license to install and use Nest 1.x.

“Perpetual” means that the license does not expire for Nest 1.x, but it does not require the Licensor to provide updates, support, downloads, or services forever.

Unless stated otherwise at the time of purchase, a Nest Personal License may be used by one person on that person’s own computers, provided the license is not shared with or used by other people.

A Personal License may be used for that person’s own personal or professional documents, provided the license is not shared with other people.

You may make reasonable backup copies of the installer and your license file for your own personal use, including reinstalling Nest on your own computer.

5Purchases and reseller

Nest licenses are sold through Lemon Squeezy, which acts as the Licensor’s authorized reseller and Merchant of Record. For your purchase, Lemon Squeezy is the seller of record, and its terms and policies apply to all transactions.

Payment processing, currency handling, taxes, invoicing, and refunds are handled by Lemon Squeezy under its own terms and policies.

6Updates and upgrades

Your license entitles you to all minor updates (e.g., 1.1, 1.2) for Nest 1.x. Major version upgrades (e.g., Nest 2.0) may require a new license.

7Internet access and updates

Nest is designed to work without an internet connection. The application does not require an online account, cloud service, or internet access for normal use.

Nest does not check for updates automatically. If you choose to use the manual “Check for updates” feature, the application may contact the Albedo One website to check whether a newer version is available. You may ignore this feature and continue using Nest offline.

Downloading and installing updates remains your choice. Standard website request data may be processed by our hosting provider when you use online features or visit our website, as described in the Privacy Policy.

8Restrictions

You may not:

• Reverse engineer, decompile, or disassemble Nest, except to the limited extent that applicable law expressly permits despite this restriction.
• Redistribute, sell, sublicense, share, or publish Nest, your license key, or your license file.
• Use a Personal License for multiple people, a team, an office, an organization, or as part of a shared document-management system unless the purchase terms expressly allow it.
• Bypass, disable, tamper with, or work around license checks, trial limits, signature checks, or other licensing mechanisms.
• Claim ownership of Nest or its intellectual property.

9User documents and local data

Your documents remain yours.

This Agreement does not give the Licensor ownership of your documents, filenames, notes, extracted text, thumbnails, database, local library, or other content you create, import, or manage using Nest.

Nest is designed as local-first desktop software. Your documents and Nest library are stored on your computer or in locations you choose. You are responsible for controlling access to those locations.

Data handling is described separately in the Nest Privacy Policy.

10Backups and data responsibility

Nest is not a backup service.

You are responsible for keeping safe backups of your original documents, your Nest library, your database, and your license file.

The Licensor is not responsible for lost, corrupted, deleted, misplaced, overwritten, or inaccessible documents or data, except to the extent that applicable law does not allow this responsibility to be excluded.

Before importing important documents, moving libraries, deleting originals, upgrading software, reinstalling your operating system, or changing storage locations, you should make your own backup.

11Trial

Nest may include a free Trial. During the Trial period, you may use Nest for evaluation.

After the Trial period expires, continued use of Nest requires a valid license.

The Licensor may change, remove, or adjust the Trial model in future versions.

12Term and termination

This license is perpetual for Nest 1.x, unless terminated as described below.

The Licensor may terminate this Agreement immediately if you materially breach any of its terms. Upon termination, you must stop using Nest and delete any unauthorized copies.

Termination does not give the Licensor ownership of your documents or local data.

Sections concerning ownership, restrictions, user documents and data, disclaimers of warranties, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination will continue to apply after termination.

13Third-party software

Nest may include or use third-party libraries, frameworks, or components. Those components may be subject to their own licenses.

Where required, third-party notices or license information will be included with Nest or made available through the application or website.

This Agreement does not limit any rights you may have under applicable third-party open-source licenses for those components.

14Export control

You may not use or transfer Nest in violation of applicable export control laws, sanctions, or trade restrictions.

15No high-risk use

Nest is intended for personal and general document organization.

Nest is not designed for use in safety-critical, medical, legal evidence preservation, emergency, financial trading, regulated records compliance, or other high-risk environments where failure could lead to death, personal injury, major financial loss, legal loss, or severe damage.

You must not rely on Nest as the only system of record for documents where loss, corruption, misclassification, or search failure could cause serious harm.

16Disclaimer of warranties

Nest is provided “AS IS” without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Licensor does not promise that Nest will be error-free, uninterrupted, secure, compatible with every file, compatible with every device, suitable for every purpose, or able to find every document or every piece of text. Document text extraction, OCR, indexing, thumbnails, search results, file classification, and metadata display may be incomplete, inaccurate, or unavailable for some files.

Nothing in this section excludes or limits rights that cannot legally be excluded or limited under applicable consumer protection law.

17Limitation of liability

To the fullest extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the use of Nest, including loss of documents, loss of data, loss of profits, loss of business, loss of reputation, business interruption, or the cost of substitute software or services.

To the maximum extent permitted by applicable law, the Licensor’s total liability arising out of or relating to Nest or this Agreement will not exceed the total amount you paid for your Nest license.

Nothing in this Agreement limits or excludes liability where applicable law does not allow such limitation or exclusion.

18Indemnification

If your misuse of Nest or violation of this Agreement causes a third-party claim against the Licensor, you are responsible for the resulting reasonable costs, damages, and expenses to the extent permitted by applicable law.

19Changes to this Agreement

The Licensor may update this Agreement for future versions of Nest.

The version of the Agreement accepted when you purchased or installed Nest applies to that version, unless a later version is required by law or you accept updated terms for a later version.

Material changes will not retroactively remove the core rights already granted by a valid paid Nest 1.x license.

20Governing law

This Agreement is governed by the laws of the Republic of Serbia, without regard to conflict-of-law rules.

If you are a consumer, you may also have mandatory rights under the laws of your country of residence. Nothing in this Agreement excludes or limits rights that cannot legally be excluded or limited under applicable consumer protection law.

21Entire agreement

This Agreement, together with the Lemon Squeezy purchase terms and any other terms presented at the time of purchase, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, written or oral.

22Severability

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

23No waiver

If the Licensor does not enforce a provision of this Agreement on one occasion, that is not a waiver of the right to enforce it later.

24Assignment

You may not assign or transfer this Agreement without the Licensor’s permission. The Licensor may assign or transfer this Agreement, for example as part of a sale or reorganization of the Nest business, provided your rights under a valid license are preserved.
