Nest End User License Agreement
This End User License Agreement (the “Agreement”) governs your installation and use of Nest. Please read it before purchasing, installing, or using Nest.

Nest presents this Agreement for acceptance before first use. By selecting “I Agree,” or otherwise affirmatively accepting this Agreement through a method provided with Nest, you agree to it. If you do not agree, do not use Nest.
1Definitions
- “Nest” means the proprietary Windows desktop application developed by the Licensor for locally organizing, describing, viewing, indexing, searching, importing, and exporting documents.
- “Individual License” means a license granted to one individual. It may be used for that individual’s personal or professional work on computers that individual owns or is authorized and regularly assigned to use, but it may not be shared with or used by another person.
- “Consumer” means an individual who acquires or uses Nest for purposes outside that individual’s trade, business, craft, or profession, to the extent applicable law treats that individual as a consumer.
- “Business User” means a user who is not a Consumer.
- “Licensor” means Dejan Stanojević, who publishes the software under the Albedo One name.
- “Merchant of Record” means the authorized reseller identified at checkout that sells the license and handles the transaction.
- “Trial” means a time-limited evaluation period during which Nest may be used without a paid license.
2License, not transfer of intellectual property
Nest is licensed, not sold as intellectual property.
Purchasing a license gives you the right to use Nest under this Agreement. It does not transfer ownership of Nest, its source code, license-generation tools, signing keys, build system, brand, trademarks, artwork, or other intellectual property.
The Licensor retains all rights not expressly granted by this Agreement. This does not restrict rights that applicable law gives a lawful acquirer and does not permit the Licensor to avoid any exhaustion, resale, backup, observation, study, error-correction, interoperability, or similar rule that cannot lawfully be excluded.
Nest is proprietary software. Its source code is not included with an Individual License. You may not misrepresent Nest’s origin, represent it as your own work, or distribute it under an open-source license that the Licensor has not authorized. Separate open-source components remain governed by their own licenses.
3License grant
Subject to this Agreement, the Licensor grants you a perpetual, limited, non-exclusive license to install and use Nest 1.x under an Individual License.
“Perpetual” means that the license itself does not expire for Nest 1.x. It does not mean that Nest will remain compatible with every future operating system, device, file format, or third-party product, or that downloads and support will remain available forever. Section 6 preserves any update or conformity obligation required by applicable law.
Unless the purchase terms expressly state otherwise:
- an Individual License is for one individual;
- that individual may install and use Nest on any number of computers that the individual owns or is authorized and regularly assigned to use, including an employer-owned computer;
- the license and license file may not be shared with or used by another person; and
- Nest may be used for that individual’s personal or professional work, including documents belonging to an employer or client that the individual is legally authorized to process, provided that Nest and the Individual License are not made available for use by those other persons.
A permanent transfer of an Individual License is permitted only under Section 24.
4Backup copies of Nest and the license file
You may keep reasonable backup copies of the Nest installer and your license file for your own licensed use, including reinstallation and recovery.
Backup copies remain subject to this Agreement. You are responsible for keeping the license file confidential because a person who obtains it may be able to use it.
5Purchases, Merchant of Record, and consumer rights
Nest licenses are sold through Lemon Squeezy, the Merchant of Record identified at checkout. Lemon Squeezy is the seller for the transaction, and its buyer terms govern payment processing, currencies, taxes, invoicing, cancellation, chargebacks, and refunds.
This Agreement governs the license to use Nest. If a Merchant of Record term conflicts with this Agreement on use of Nest, this Agreement controls as between you and the Licensor. The Merchant of Record’s terms continue to control the sale transaction. Neither set of terms excludes rights or remedies that applicable law gives you against the Licensor, the Merchant of Record, or another responsible party.
If you are a Consumer, you retain all mandatory rights concerning pre-contract information, delivery, withdrawal, conformity, updates, correction, price reduction, termination, refunds, damages, complaints, and dispute resolution. Contact the Merchant of Record for transaction and payment matters and the Licensor for Nest functionality and licensing support. Either party may redirect a request when the other is legally or operationally responsible.
6Updates, upgrades, and compatibility
A paid Nest 1.x license includes minor updates that the Licensor releases for Nest 1.x. A major version, such as Nest 2.0, may require a separate license.
The Licensor does not promise to release any particular optional feature, enhancement, format integration, or compatibility update. However, this does not limit an obligation under applicable law to supply an update, including a security update, needed to keep Nest in conformity for the period required by law.
When an update needed for conformity is made available, you are responsible for installing it within a reasonable time after receiving clear notice of its availability and the consequences of not installing it. The Licensor is not responsible for a lack of conformity caused solely by your failure to install such an update where applicable law permits that result and the installation instructions were adequate.
You do not have to buy a future major version merely to continue using your licensed copy of Nest 1.x, provided that copy remains technically usable. This sentence does not require the Licensor to preserve compatibility indefinitely.
7Offline operation and manual update checks
Nest is designed for local, offline use. Normal document organization, indexing, viewing, and searching do not require a Nest account, an Albedo One cloud service, or an internet connection.
Nest does not automatically check for Nest updates or send in-app analytics or telemetry to the Licensor. If you select “Check for updates,” Nest may request update information from an Albedo One endpoint. You may choose not to use that feature.
The operating system, installer, security software, certificate-validation services, file-sync tools, storage providers, or other third-party components may make network requests under their own settings and policies. Those requests are not Nest telemetry controlled by the Licensor.
Standard technical request data may be processed by the website or update host when you request update information or visit an Albedo One website, as explained in the Nest Privacy Policy.
8Restrictions and statutory exceptions
Except to the extent applicable law expressly permits an activity despite this restriction, you may not:
- reverse engineer, decompile, or disassemble Nest;
- modify Nest or create and distribute a derivative software product based on Nest;
- redistribute, sublicense, rent, lease, share, or publish Nest, a license file, or a license token;
- allow another person to use an Individual License;
- split, duplicate, or use an Individual License simultaneously for more than one person;
- make Nest available as a shared document-management system or managed software service for a team, office, organization, or client without an appropriate multi-user license;
- bypass, disable, tamper with, or work around license checks, Trial limits, signature checks, or licensing mechanisms;
- misrepresent Nest’s origin or claim ownership of Nest or its intellectual property; or
- use Nest unlawfully or import, copy, retain, process, or export documents without the necessary legal rights or permissions.
Nothing in this Agreement restricts a non-waivable right to make a necessary backup copy, observe or test the functioning of software, obtain interoperability information, correct errors, transfer a lawfully acquired copy, or perform another act permitted by applicable law.
9Your documents and local data
Your documents remain yours. As between you and the Licensor, you retain all rights that you hold in original documents, managed library copies, filenames, notes, extracted text, thumbnails, metadata, databases, search indexes, exported files, and other content you create, import, or manage with Nest. Rights belonging to an employer, client, author, or other third party remain with that rights holder. This Agreement gives the Licensor no ownership of that content merely because Nest stores or processes it.
Nest is local-first software. Documents and the Nest library are stored on your computer or in locations you select and control. You are responsible for controlling access to those locations and for having the rights and permissions needed to process their contents.
Nest is designed to copy an imported source file into its managed library without modifying or deleting the source file. Removing a document from the managed library does not remove the original source file and requires a removal command and confirmation from the user. These statements describe Nest-controlled behavior and cannot prevent loss caused by hardware, the operating system, malware, storage or sync software, another person, or events outside Nest’s control.
Trial expiry, license expiry, or termination does not transfer ownership of or intentionally delete your documents or local library.
The Nest Privacy Policy separately explains data handling.
10Backups and data responsibility
Nest is a document organizer, not a backup, cloud-storage, archival, or disaster-recovery service.
You are responsible for keeping safe, independent backups of original documents, the Nest library, its database, and the license file. Do not use Nest as the only copy or only system of record for important documents.
Before importing important documents, deleting originals, moving or repairing a library, changing storage locations, updating Nest, reinstalling an operating system, or replacing a device, make and verify an appropriate backup.
No software can eliminate every risk of deletion, corruption, failed storage, incompatible formats, incomplete extraction, indexing errors, or loss of access.
11Trial
Nest includes a 30-day Trial that requires no account or payment card. During the Trial, the Individual License features are available for evaluation, subject to the technical and product limitations in this Agreement.
You may not reset, extend, recreate, bypass, or interfere with the Trial or its technical enforcement.
When the Trial expires without a valid paid license, Nest enters read-only mode. You may continue to open Nest and access the existing library, including browsing, searching, viewing document details and metadata, opening existing stored documents, and exporting existing documents and library data using available functionality.
Read-only mode does not permit importing or adding documents, editing metadata, running OCR, deleting or restoring documents, changing collections or pins, or performing other operations that persistently add to or modify the library. Technical failure, corruption, missing files, incompatible formats, or an unusable operating environment may still prevent access or export; this clause is not a guarantee against those events.
Trial expiry does not transfer ownership of or intentionally delete your documents or local data and does not remove any mandatory Consumer remedy. The Licensor may change or remove the Trial for a future version without changing a paid perpetual Nest 1.x license already granted.
12Term and termination
The license is perpetual for Nest 1.x unless terminated under this section.
The Licensor may terminate the license if you materially breach this Agreement and, where the breach can be remedied, you do not remedy it within 30 days after receiving notice describing the breach. The Licensor may terminate immediately for an irremediable material breach, deliberate license circumvention, unauthorized distribution of Nest or license materials, or unlawful use creating a material legal or security risk.
Termination ends the right to use licensed modification features. It does not transfer ownership of or intentionally delete your documents or local data. Subject to technical usability, you may retain and use only the limited read-only and export functionality described in Section 11 for the purpose of accessing and retrieving existing documents. You must stop all other use of Nest and delete or render unusable the terminated license credentials and any software copies not needed for that limited access, except where applicable law permits retention.
Sections that by their nature should survive termination—including ownership, restrictions, document ownership, backup responsibility, warranty rules, liability rules, and governing law—continue to apply.
13Third-party software
Nest may include or use third-party libraries, frameworks, or components governed by separate licenses. Required notices or license information will be included with Nest or made available through the application, installer, documentation, or website.
This Agreement does not restrict rights granted directly by an applicable third-party or open-source license.
14Legal compliance and export controls
You must use Nest in compliance with applicable law. You may not use, export, re-export, or transfer Nest in violation of applicable export-control laws, sanctions, or trade restrictions.
15No high-risk or sole-record use
Nest is intended for personal and general professional document organization. It is not designed or certified as the sole archive, evidence-preservation, regulatory-compliance, medical, emergency, safety-critical, financial-trading, legal-record, or business-continuity system where failure could cause death, personal injury, major financial loss, legal loss, regulatory breach, or severe damage.
Do not rely on Nest as the only copy or only system of record where loss, corruption, omission, misclassification, failed extraction, or search failure could cause serious harm. Use appropriate independent backups, verification, access controls, and professional advice.
16Warranties and mandatory conformity rights
16.1 Consumers
If you are a Consumer, Nest is supplied with the legal guarantees and conformity rights required by applicable law. Nothing in this Agreement excludes or reduces a mandatory right or remedy, including a right concerning delivery, conformity, functionality, security, compatibility, updates, correction, price reduction, termination, refund, or damages.
Subject to those mandatory rights, Nest is not promised to be error-free, uninterrupted, immune from every threat, compatible with every file, file format, device, Windows version, security product, or hardware configuration, or suitable for every document-management purpose. Text extraction, OCR, indexing, thumbnails, search results, file classification, metadata, previews, import, and export may be incomplete, inaccurate, unavailable, or unsupported for some files.
16.2 Business Users
If you are a Business User, Nest is provided “AS IS” and “AS AVAILABLE,” without express, implied, or statutory warranties to the maximum extent permitted by law, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, and non-infringement.
The limitations described in Section 16.1 also apply to Business Users. Nothing in this subsection excludes a warranty that applicable law does not allow the parties to exclude.
17Limitation of liability
17.1 Liability that is not excluded
Nothing in this Agreement excludes or limits liability to the extent it cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, intentional misconduct, gross negligence where it cannot be limited, death or personal injury where legally non-excludable, or another category that applicable law protects.
17.2 Consumers
If you are a Consumer, your rights and the Licensor’s liability are governed by applicable mandatory law. No exclusion, classification of loss, or financial cap in this Agreement reduces a mandatory remedy or compensation right.
You remain responsible for taking reasonable steps to limit avoidable loss, including maintaining appropriate backups where the need for backups is clear and doing so is reasonably possible.
17.3 Business Users
If you are a Business User, then, to the maximum extent permitted by law:
- the Licensor is not liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, business opportunity, goodwill, or expected savings; and
- the Licensor’s total aggregate liability arising from Nest or this Agreement is limited to the amount paid for the applicable Nest license.
Loss or corruption of documents, databases, indexes, metadata, or other data is subject to the aggregate cap but is not automatically characterized as indirect or consequential loss. The exclusions and cap do not apply to liability listed in Section 17.1.
18Third-party claims
If you are a Business User and your unlawful use of Nest, unlawful processing of documents, unauthorized distribution of Nest or license materials, or material breach of Section 8 causes a third party to bring a claim against the Licensor, you will indemnify the Licensor for reasonable, finally awarded damages and reasonable external legal costs arising directly from that claim.
The Licensor must notify you promptly, allow you reasonable control of the defense and settlement, and provide reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by or imposes a non-monetary obligation on the Licensor without written consent.
This contractual indemnity does not apply to Consumers. Consumers remain responsible under ordinary applicable law for loss they unlawfully cause.
19Changes to this Agreement
The Licensor may publish different terms for a future version of Nest. The Agreement you accepted continues to govern the Nest 1.x license supplied under it unless:
- you affirmatively accept replacement terms;
- a change is required by law, in which case it applies only to the extent required; or
- the change is a clarification or security-related change that does not materially reduce an existing right or the licensed functionality promised to you.
No change will retroactively remove the perpetual Nest 1.x license, included released minor updates, or the intended read-only access and export ability described in Sections 11 and 12.
20Governing law and disputes
This Agreement is governed by the laws of the Republic of Serbia, without applying its conflict-of-law rules.
If you are a Consumer, this choice does not deprive you of mandatory protections of the law that would apply without this choice, and it does not require you to bring a claim in Serbia if applicable law gives you the right to use the courts or dispute-resolution bodies of another place.
Before starting formal proceedings, either party may contact the other at the address in Section 26 and make a reasonable attempt to resolve the matter. This does not suspend a limitation period or require a Consumer to use informal or alternative dispute resolution before going to court. Any mandatory right to lodge a complaint or use an out-of-court consumer dispute process remains available.
If you are a Business User, the courts with subject-matter jurisdiction in Belgrade, Serbia have exclusive jurisdiction over a dispute arising from this Agreement, to the extent such a choice is legally permitted.
21Relationship with other terms
This Agreement and any license scope expressly stated at checkout form the agreement between you and the Licensor concerning use of Nest.
The Merchant of Record’s buyer terms separately govern the sale transaction. The Nest Privacy Policy, published at https://nest.getalbedoone.com/privacy.html, explains personal-data handling and does not reduce rights under this Agreement or applicable data-protection law.
If documents conflict, they control only within their stated subject: checkout license scope controls the purchased edition or quantity, this Agreement controls use of Nest, Merchant of Record terms control the transaction, and mandatory law controls over all of them.
Language versions. This Agreement is published in English and in Serbian. The two versions are intended to have the same meaning and the same legal effect. If a difference in meaning appears, the version in the language in which the Agreement was presented to you before purchase or acceptance applies to you. Nothing in this paragraph reduces a mandatory right to receive information or contract terms in a particular language, and a language clause is not used to deny a Consumer a right available under the Serbian version.
22Severability
If a provision is invalid or unenforceable, it will be limited or removed only to the minimum extent permitted by law. The remainder continues in effect if it can operate without that provision. A court is not asked to rewrite an unfair Consumer term more broadly than applicable law permits.
23No waiver
A failure or delay in enforcing a provision on one occasion is not a waiver of the right to enforce it later.
24Assignment and permanent transfer
You may permanently transfer a purchased Individual License to another person without a transfer fee or advance permission, provided that:
- the license is transferred as a whole and is not split, duplicated, sublicensed, rented, or shared;
- you stop using Nest under that license and make your installed, backup, and other usable copies and license credentials unavailable for your use;
- you give the recipient the materials reasonably needed to use the transferred license; and
- the recipient accepts the version of this Agreement governing that license before using Nest.
The recipient then becomes the licensee. A transfer does not create an additional license or permit both people to use the same license. Any broader transfer right that applicable law gives you remains unaffected.
The Licensor may assign this Agreement as part of a sale, transfer, or reorganization of the Nest business only if the assignee assumes the Licensor’s obligations and the assignment does not reduce rights under a valid license.
25Support and complaints
The Licensor provides ordinary technical and licensing support by email using reasonable efforts. No fixed response time, resolution time, service level, continuous availability, or successful fix is promised. This does not change a mandatory deadline or remedy for a formal Consumer complaint.
Formal complaints may be submitted by email, post, telephone during the published telephone hours, or another method required by applicable law. Where required, the Licensor will record the complaint, confirm receipt or provide a reference number, and respond within the legally applicable period. The separate Complaints Procedure describes this process and the available out-of-court dispute resolution.

Email is the preferred contact method and may be sent at any time. Messages are reviewed on working days. Any additional complaint or alternative-dispute-resolution information required by the law applicable to a sale must also be provided before purchase and on the relevant website or checkout record.
Plain-English summary
This summary is for convenience. The numbered Agreement controls if the two conflict.
- A paid Individual License is perpetual for Nest 1.x and is for one person.
- It has no device-count limit and may be used on computers the licensed person owns or is authorized and regularly assigned to use.
- A purchased Individual License may be permanently transferred as a whole, but it may not be duplicated or used by both people.
- Minor Nest 1.x updates that are released are included. Mandatory conformity and security-update rights are preserved.
- Nest is local-first. It does not automatically check for Nest updates or send Albedo One in-app analytics or telemetry.
- Your documents and local library remain yours.
- After the 30-day Trial, existing documents remain accessible in read-only mode and may be exported, but library-changing features require a valid license.
- Nest is a document organizer, not a backup service or guaranteed system of record. Keep independent backups.
- Consumers retain all mandatory conformity, update, remedy, liability, court, and dispute-resolution rights.
- “AS IS,” the license-fee liability cap, and the contractual indemnity apply only to Business Users and only as far as the law permits.
- Statutory software backup, study, interoperability, error-correction, and transfer rights are not restricted.
- The English and Serbian versions are intended to mean the same thing; the language version presented to you before purchase applies to you.
- Support is by email using reasonable efforts, with no guaranteed response time. Formal complaints follow the separate Complaints Procedure.
- Do not share a license, bypass licensing, redistribute Nest unlawfully, or process documents without the required rights.
